The terms governing use of this website and the sale of goods by Trinity Fork Spice Works, Dallas, Texas.

1. Agreement

These terms govern your use of assets.roozspices.com and, unless a signed supply agreement says otherwise, every sale of goods by Trinity Fork Spice Works, a Texas business located at 4774 Fancher Drive, Dallas, TX 75212. By using the site or placing an order you accept these terms. If you do not accept them, please do not use the site.

2. Business-to-business sales

We sell wholesale to businesses. By ordering you confirm you are purchasing in the course of a trade or business and are authorised to bind that business. Quantities may be limited or allocated during short-crop periods.

3. Quotations and pricing

Prices are quoted in U.S. dollars, exclude sales tax and freight unless stated, and are valid for the period shown on the quotation (usually 30 days). Because agricultural commodity costs move weekly, prices outside a locked programme window are subject to change until an order is accepted in writing. Obvious typographical errors are not binding.

4. Orders and acceptance

Your order is an offer to buy. A contract is formed only when we confirm the order in writing or dispatch the goods, whichever happens first. Custom blends and private-label runs enter production only after you approve a written specification.

5. Payment

First orders are prepaid by credit card or ACH. Net 15 or net 30 terms may be granted on approved credit after two completed orders. Overdue balances accrue interest at 1.5% per month or the maximum permitted by Texas law, whichever is lower, and we may suspend shipments while an account is past due. Resale customers must supply a valid Texas resale certificate; otherwise sales tax applies.

6. Delivery and title

Delivery dates are estimates given in good faith and are not of the essence. Risk of loss passes on delivery to your premises for own-truck routes and on delivery to the carrier for freight shipments. Title passes on payment in full. Please inspect goods on arrival and note visible damage on the delivery receipt.

7. Specifications and natural variation

Spices are agricultural products. Colour, heat, particle distribution and aroma vary within published tolerances between crops and origins. We warrant that goods conform to the agreed written specification and to applicable food-safety law; we do not warrant absolute uniformity between lots beyond those tolerances.

8. Returns

Returns are governed by our Shipping & Returns policy, which forms part of these terms.

9. Warranty and liability

Except as expressly stated, all implied warranties are excluded to the fullest extent permitted by law. Our total liability arising out of any order is limited to the invoiced value of the goods giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits, lost production or menu reformulation costs. Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence or for fraud.

10. Food safety responsibility

You are responsible for verifying that the goods are suitable for your application, for correct storage after delivery, and for the accuracy of any label statements you make about finished products containing our ingredients.

11. Intellectual property

All content on this site — text, photography, layout, the Trinity Fork name and mark — belongs to Trinity Fork Spice Works and may not be reproduced commercially without written permission. Customer formulas and artwork remain the property of the customer.

12. Acceptable use of the site

Do not attempt to interfere with the site, scrape it at volume, or use it to transmit unlawful material. We may suspend access where these terms are breached.

13. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including crop failure, port closure, extreme weather, utility failure, labour disputes or government action.

14. Governing law

These terms are governed by the laws of the State of Texas. The state and federal courts located in Dallas County, Texas have exclusive jurisdiction over any dispute. Before filing suit, both parties agree to attempt resolution by good-faith discussion for 30 days.
